Terms & Conditions
This is a courtesy translation. The German version (AGB) is the legally binding one.
1. Scope
These Terms apply to all services provided by Saphius (Thomas Lipp, Moarhausgasse 2b, 5111 Bürmoos) in the areas of video editing, image editing, social media content and AI-supported creative services, whether requested via saphius.com or directly. Deviating terms of the customer only apply if expressly confirmed in writing.
2. Formation of contract
A contract is formed when an offer from Saphius is accepted by the customer in writing (email is sufficient), or through mutually confirmed commissioning. Scope of work, price and delivery date are agreed individually for each project.
3. Scope of services
The exact scope of services (e.g. number of videos, images, formats, revision rounds) results from the respective offer or order. Services not expressly agreed are not part of the contract.
4. Customer's duty to cooperate
The customer provides required source material (raw footage, text, brand guidelines, access credentials) in good time and gives feedback within a reasonable period. Delays caused by late delivery of materials or feedback will shift agreed delivery dates accordingly.
5. Revision rounds
Unless otherwise agreed, 3 revision rounds per order are included in the price. Further change requests will be billed based on time spent.
6. Prices & payment terms
The prices stated in the offer apply. Unless otherwise agreed, invoices are payable within 14 days without deduction. For larger projects, a deposit may be agreed. As a small business under § 6 (1) 27 UStG, no VAT is shown.
7. Delivery dates
Agreed delivery dates are binding only if expressly designated as such. In the event of delays due to force majeure or late cooperation by the customer, deadlines are extended accordingly.
8. Usage and copyright
Upon full payment, the customer receives the agreed usage rights to the final work for the agreed purpose. Saphius remains the author of the works and may, unless expressly agreed otherwise, use finished work for reference and portfolio purposes (including on saphius.com and social media).
9. Warranty & liability
Saphius provides services to the best of its knowledge and according to the current state of the art. No guarantee can be given regarding the exact predictability of results from AI-supported tools; obvious defects must be reported without delay, and no later than 7 after delivery. Liability is limited, to the extent legally permissible, to intent and gross negligence.
10. Right of withdrawal for consumers
Consumers generally have a 14-day right of withdrawal for contracts concluded off-premises or at a distance. If, at the customer's express request, performance of the service begins before the withdrawal period has expired, the right of withdrawal may lapse early pursuant to § 18 FAGG; the customer will be notified of this separately.
11. Termination / withdrawal
Ongoing projects may be terminated by either party for good cause. Services already rendered must be compensated on a pro-rata basis in this case.
12. Data protection
Information on the processing of personal data can be found in the Privacy Policy.
13. Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent legally permissible, the place of jurisdiction is the registered location of Saphius. Should any provision of these Terms be invalid, the validity of the remaining provisions remains unaffected.
